1. Introduction:

Khareedhi.com (“Khareedhi” or “we” or “our” or “us”) offers cashback program along with coupons, deals, offers, product and price comparison feature to allow members to save and earn cashback on purchases completed through our website subject to these terms and conditions (“Agreement”). This Agreement constitutes a legally binding agreement between each individual (“Member” or “you”) who is registered for our program or otherwise uses any of our Services. Also, please read these terms of service (“Service” or “Privacy Policy”) carefully as they contain the legal terms of service and policies that you agree to when you use the service provided by us through khareedhi.com (“Site” or “website”). This document may be subject to change in the future at our sole discretion as stated in clause 23 below.

2. Membership:

You can obtain a membership at Khareedhi through registration process after you submit the requested information to khareedhi.com. Before registration we ask for your consent towards our Terms of Service. If you do not agree to our Terms of Service you will not be permitted to use any of our services.

Please be aware that as member of khareedhi.com, you are not allowed to run any paid ads on Google, Facebook or any other platform pointing to khareedhi.com. If you do not comply with the conditions, it would result in an immediate termination of your account/membreship.

3. Our Service:

Khareedhi enables its registered users to avail cashback or a cash reward on their purchases from retailers listed on the website. We also provides discount codes and coupons of various online retailers. To qualify for cashback, the retailer must confirm that the user’s purchase is tracked, genuine and successful (“Validated Transaction”), and your resulting cashback must be received by us (changing to “Payable Cashback” on your profile).

In rare circumstances, the retailers might not be able to track a transaction using their affiliate tracking system, then such sale transaction might not be paid to khareedhi.com, and hence any due or expected cashback from these transaction will also not be paid to the users.

At Khareedhi, we also provides an unique and ingenious referral reward to its users. Kindly check the “Refer & Earn” module on clause 7 for details. You can also refer to our FAQs section and other help and documentation on the user cashback dashboard incase you seek more information or have any queries regarding our services.

4. Obtaining a Membership:

To become a Member, you must be at least 18 years old and provide us with your email address, name and password in order for us to create your cashback account (“Account”). Each individual person is limited to one Account. As a condition of receiving payment, you must also provide us with your bank account details or any other means of payment available within our service for us to send you any accrued cashback. Any and all information collected from you shall be subject to our Privacy Policy, kindly refer to the same.

5. Termination of Membership:

Khareedhi reserves the right to terminate any account incase any fraudulent, abusive or unfair activity is obeserved from that account. The account can only be used only for personal and non-commercial use, any accounts being used for commercial activity will be terminated. Any pending or confirmed cashback in such terminated accounts shall be forfeited and the decision will be irrevocable and binding.

In case the user does not provide us with a valid or serviceable email address, his/her membership will also be terminated. In addition, accounts that are deemed to be “inactive” as per clause 14 may also be terminated. We also reserve all right to refuse or deny membership to any individual.

6. Earning Cashback:

As a member of Khareedhi, you can avail cashback and/or cash reward after making a purchase from various retailers listed on our website. However, we can only provide cashback or reward on genuine transactions which are successfully tracked and verified by the retailers. Once your transaction is successfully tracked and verified by a retailer, we get commission from the retailer and we pass on a part of the commision in the form of cashback or reward to you.

Under certain circumstances, your transaction may not get tracked or qualify for a cashback. In such cases, we cannot be held responsible for the same. Retailers deem a transaction to be genuine or valid through their own set of rules. A transaction deemed as non-genuine or invalid by the retailer would not qualify for a cashback or reward. We at Khareedhi, would always make our best efforts to recover non payments and missing cashback from the retailers. In case, you made a genuine transaction and did not receive a cashback, you can make a claim by going through the procedure as described in the cashback dashboard or by directly contacting our support. However, we reserve the right to stop your cashback claim at any point and our decision will be final in this regard.

Any cashback which was erroneously transferred or cashback claimed by user while conducting fraudulent transaction, shall be returned back to Khareedhi. Erroneously transferred cashback can include (but not limited to) cashback transferred due to software issue, clerical mistake or any other mistake either by Khareedhi or the merchant or combined. Khareedhi shall notify the same to the user by means of an email communication. It is the responsibility of the user to return the money back to Khareedhi by way of a bank transfer to the bank account of Khareedhi.com within two weeks, failing which the company shall start levying compounded interest of 20% per annum (calculated monthly) from the day the money was sent by us to the user. If the user does not return the money within 30 days, the company will be at liberty to take strictest legal actions against the user. The full liability of legal expenses incurred by either Khareedhi or user, shall be full liability of the user.

Also, at times you may receive a lesser amount in cashback or reward than what you were expecting or promised. This only happens when a retailer gives us an amount less than his original claim. In this case, you may raise a query to our support and we would take it up with the retailer. However, we reserve the right to close this enquiry claim if the retailer still does not pays in a period of six months.

Cashback may also be forfeited by Khareedhi if the user is not logged in while transacting through our website and we receive an unattributed cashback payment which is not associated with any user account. And also in case the cashback is attributed to an account which is terminated by Khareedhi under Clause 5 or 12.

7. Refer & Earn:

Khareedhi offers reward for its registered users for each successful referral. This referral reward is subject to change at any point of time as per the discretion of Khareedhi. However, to get a referral reward, the referred member must satisfy certain conditions and requirements:

Only genuine and unique referrals will be paid.
The member will have to verify his/her mobile number through an OTP.
In case of social login, the referral code could be entered in the member dashboard.
Referred member must make atleast one transaction for the reward to be marked payable.

Multiple accounts or signups by the same user or any fraudulent activities will result in permanent termination of the accounts.

8. Cashback and Reward Withdrawals:

As a member of Khareedhi, you can withdraw your validated cashback when you have a minimum of Rs 250 as payable cashback or a minimum of Rs 100 in payable rewards in your account. In the event, if a user decides to close his/her membership with us or the member’s account is closed for any reason whatsoever, before reaching a minimum limit of Rs 250(cashback) or Rs 100 (reward), there would be a small transaction fee to withdraw the same.

Khareedhi currently offers four modes through which the users can request for their withdrawals:

Wire (Online Transfer)
Mobile/DTH Recharge
Shopping Vouchers
Paytm Wallet

User must ensure to provide correct and updated payment details. Khareedhi is not responsible for payments made to incorrect accounts. Khareedhi can also be not held liable for any delay in payments.

In case we come across any unusual or fraudulent activity from any user account, we reserve the right to place all payment requests on hold from that account indefinitely until further investigation.

9. Intellectual Property:

Khareedhi.com is protected by a copyright. We solely hold all copyrights, trademarks and intellectual property rights pertaining to Khareedhi.com and its services. No one is permitted to distribute or reproduce any part of this website with or without modification or any data contained within the website without our prior consent. Also, no one may commercially exploit the identity, logo or services of Khareedhi.

By uploading any kind of material on our website, you also grant us a non exclusive right to use, reproduce or distribute that material.

10. Privacy & Cookie Policy:

Our Privacy & Cookie Policy forms part of this Agreement, and by entering into this Agreement you also give us your consent to the way we may collect information about you, how we may use it, the choices you have concerning its use and whether we share it with any third party.

11. Our Role:

Khareedhi only redirects you to a retailer’s website and all sales transactions are performed with the chosen retailer. Khareedhi is no way involved in any of the transactions you make from our retailers website and thus is free from any liability or legal obligations that may arise or be applicable to the sellers of those goods and services. We are also not responsible for the quality, safety, availability or legality of the goods and services offered by retailers listed on Khareedhi.

12. Unauthorized use of our Website:

Khareedhi reserves the right to suspend or terminate any user’s access to our service, or part of it, and forfeit the earnings of the same, if it is found to be in violation with or breach of any provision of this Agreement.

As a member of Khareedhi, you must not attempt to make any transaction with a retailer to gain cashback by providing

Incorrect or false information.
Personal details of soneone else.
Wrong or a payment mode which you are not allowed to use.

Users must also refrain themselves from unfairly exploiting our retailer’s offers.

Khareedhi reserves the right to forfeit any pending payments or validated payments in the Member’s Account if a member is found guilty of tampering with the website including modification of URLs, distributing unauthorised URLs, email cloaking, running automated scripts or pages being spidered.

As a member of Khareedhi, you are also under the obligation that any material posted on the website may not:

Be defamatory, offensive, abusive, obscene, indecent or of malicious nature.
Cause distress, inconvenience or needless annoyance to any person.
Contain any computer virus, macro virus, Trojan horse, worm, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority, or expropriate any system, data or personal information.
Violate any applicable law or regulation including, but not limited to, laws governing consumer protection, unfair competition, distance selling, anti-discrimination, false advertising, copyright, trademark and privacy.
Breach the rights of any person or entity.
Advertise any goods or services.

We would be glad if you could report to us, incase you see anything on Khareedhi.com that violates the above mentioned criterion. Each user also acknowledges that Khareedhi is entitled but is not obliged to remove any such material that is violation with above mentioned criterion.

13. Contact from third parties:

In few circumstances, when we are asked or contacted from anyone in relation to material or transactions associated with you or your Account, then you agree to provide all the required information and assistance we may require in connection with responding to that contact and you shall respond promptly and accurately to it, should we contact you for a response.

14. Inactive Accounts:

We reserve the right to terminate any inactive accounts. “Inactive” Accounts are those accounts which do not show any activity for a period of 12 months. To avoid your account be marked as inactive simply log in to your account once every 12 months.

15. Operation of our Service:

Khareedhi reserves the right to withdraw, modify or suspend any service on our website, where we have legal, security, technical or commercial reasons to do so. We will endeavor to give you 30 days advance notice before taking such action, except where it is necessary to take earlier action for security reasons or because of technical difficulties which would otherwise adversely affect our service. There may also be times when the Cashback Service becomes inaccessible as a result of technical difficulties experienced by us or on the Internet. We will however handle the issue with great skill and care to overcome these difficulties where they are within our control. Please note, however, that we cannot guarantee continuous access to the cashback service or any of the content that appears on it. Nevertheless, we will strive to ensure that any planned unavailability (like server/database maintenance) which you will be informed of when you access our services at that time, are kept to a minimum. For security or other reasons, we may require you to change password or other information which facilitates access to our services. However, we will never ask you for your password via email, telephone, or any other means other than through the Site. You are solely responsible for maintaining the confidentiality of your password and any additional identifying information.

16. Disclaimer:

The content and material from or through the site are provided “as-is,” “as available,” with “all faults”, and all warranties, express or implied, are disclaimed (including but not limited to the disclaimer of any implied warranties of merchantability, non-infringement, freedom from error, and fitness for a particular purpose). The information and services may contain bugs, errors, problems or other limitations. We and our affiliated parties have no liability whatsoever for your use of any information or service. In particular, but not as a limitation thereof, we and our affiliated parties are not liable for any indirect, special, incidental or consequential damages (including damages for loss of business, loss of profits, savings, litigation, or the like), whether based on breach of contract, breach of warranty, tort (including negligence), product liability or otherwise, even if advised of the possibility of such damages. The negation and limitation of damages set forth above are fundamental elements of the basis of the agreement between us and you. This site and the products, services, documents, content and materials and information presented would not be provided without such limitations. No advice or information, whether oral or written, obtained by you from us through the site or otherwise shall create any warranty, representation or guarantee not expressly stated in this agreement. All responsibility or liability for any damages caused by viruses contained within the electronic file containing a form or document is disclaimed.

17. Liability:

We warrant that the cashback service will be provided with reasonable care and skill with the intention of meeting our specifications for the Cashback Service, but we cannot and do not guarantee that the cashback service will meet your requirements. We shall be liable as expressly provided in this Agreement, but shall have no other obligation, duty or liability whatsoever in contract, tort (including negligence, breach of statutory duty and any other tort) or otherwise. Nothing in this Agreement shall exclude or restrict our liability for death or personal injury resulting from our negligence.

Limitation of Liability: Subject always to sub-clause (E) below, we shall be liable for direct loss or damage only, whether in contract, tort (including negligence, breach of statutory duty or other tort) or otherwise, and whether caused by its act or omission or that of its employees, agents or subcontractors. The aggregate liability of our Company and the affiliated parties in connection with any claim arising out of or relating to the site and/or the products, information, documents and services provided herein or hereby shall not exceed Rs 500 and that amount shall be in lieu of all other remedies which you may have against us and any affiliated party to us. We will not be liable to you or anyone else, whether in contract, tort (including negligence, breach of statutory duty or other tort) or otherwise

(A) for any loss of revenue, business, anticipated savings or profits;

(B)any errors in or omissions from the Site or any services or products obtainable therefrom;

(D) your use of the Site;

(E) the content and materials contained on the Site;

(F) or any delay or failure in performance beyond our control or any of our affiliated parties.

for any indirect, special or consequential loss damage, costs or other claims, howsoever caused or arising, whether through non-supply or late supply of the cashback service or other non-performance of this Agreement or otherwise. Except as expressly stated elsewhere in this Agreement, all representations, warranties, conditions and other terms, whether express or implied (by common law, statute, collaterally or otherwise) are hereby excluded, except in the case of fraud, or where such exclusion is not permitted by Applicable Law. For the avoidance of doubt, we will not have liability to you or any other person in respect of material contributed by Members, transactions (or non-transactions) with Retailers, or any activity or communication relating to such material or transactions.

The provisions of this Clause 15 shall survive the termination or expiry of this Agreement.

18. Third Party Content:

Third party content and materials may appear on the Site or may be accessible via hyperlinks from our website. We are not responsible for and assume no liability whatsoever for any mistakes, misstatements of law, defamation, omissions, falsehood, obscenity, pornography or profanity in the statements, opinions, representations or any other form of content and materials appearing on the website or accessible via hyperlinks from the website.

19. Communications:

You hereby expressly agree to receive communications by way of SMS, e-mails from khareedhi.com relating to our services provided through the Website.

20. Indemnity:

You agree to indemnify us against all liabilities, claims and expenses that may arise out of or in connection with (a) any breach of this Agreement by you or through your Account, or (b) any transaction with a Retailer.

21. Assignment:

We reserve the right to assign this Agreement, and to assign or subcontract any or all of our rights and obligations under this Agreement, but will not do so in such a way as to reduce any guarantees you are given under this Agreement. You may not without our written consent assign or dispose of this Agreement, nor subcontract any of your rights and obligations under it.

22. Entire Agreement:

This Agreement is intended to contain your entire agreement with us relating to our cashback service; we believe it to be fair and reasonable. It replaces all earlier agreements and understandings with you relating to the Cashback Service, except for any fraud or fraudulent representation by either of us.

23. Changes to this Agreement:

We reserve the right to change this Agreement from time to time, and post the new version on the cashback service. When we do so, we will post the new version of the Agreement on the cashback service, and the new version of these terms and conditions will take effect, and will govern the cashback service and your relationship with us: commencing no less than thirty days after the date of posting (or such later date as we indicate in the relevant posting), if any of the changes is to an operative provision of this Agreement which is capable of adversely affecting you; if you do not wish to be governed by the new version of the Agreement, you may notify us on or before the date when the new version of the Agreement is to take effect, and from that date you must cease to use our service; or immediately upon the date of posting (or such later date as we indicate in the relevant posting), if the changes are not to operative provisions, or not capable of adversely affecting you – examples of which would include, without limitation, changes to contact details referred to, or the refinement of provisions that are already included, in this Agreement.

24. General:

In the event that any term of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain valid and enforceable. You and us are independent contractors, and no agency, partnership, joint venture or employee-employer relationship is intended or created by this Agreement. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

25. Governing Law:

This Agreement, and our relationship with you and each Member, is governed as per the Indian Laws. You and we each submit to the non-exclusive jurisdiction of the Indian courts in relation to disputes arising in connection with this Agreement.

26. Keeping this Agreement:

We do not separately file the individual Agreements entered into by Members when they register for our cashback service. You can access it at www.khareedhi.com. Please make a durable copy of this Agreement by printing and/or saving a downloaded copy on your own computer. It is offered in English only.
